Senior Corporate Officer in Private Equity

We are seeking to recruit a full time corporate officer to manage and execute all company secretarial duties for portfolio of assigned clients. The candidate will report directly to the Managing Directors and Client Service Manager. The candidate should have experience within a Private Equity fund administration services environment with specific knowledge of the domiciliation function and relevant Luxembourg company law in general. As an experienced corporate officer the candidate will possess excellent communication skills and will be able to comfortably participate in discussions with senior personnel from external and internal clients and be able to efficiently prioritize tasks under pressure. The candidate should be a team player, flexible and willing to develop.
Operational responsibilities
• Coordination, management and execution of the company secretarial function for assigned clients and their entities; maintenance of company secretarial records including in depth knowledge and understanding the Articles and Memoranda of these companies to ensure the company’s acts in line with the conditions therein.
• Responsible for maintaining the integrity of client data in the current system.
• Attending board meetings, preparing board packs and drafting of minutes accurately and on timely basis.
• Preparation of directors and shareholders meetings including convening notices for clients.
• Preparation of annual returns/annual validations.
• Ensure AGMs are held where necessary; maintain event calendar.
• Sealing of company documents and maintenance of the company registers.
• Dealing with any liquidations; with the transfer of funds or companies to or from alternative administrators on corporate secretarial matters.
• The preparation of notices and resolutions for extraordinary business.
• The maintenance of all statutory documentation in relation to companies and timely and diligent update of all electronic and hard copy files.
• Preparation and presentation of new company corporate documents as and when required.
• Responsible for ensuring that initial client review of statutory records for new business has been completed.
• Liaising with and updating registered office providers in different jurisdictions.
• Liaising with the regulator on company secretarial matters.
Risk management
• Be familiar and in date with regulatory training relating to drug trafficking, money laundering, terrorist financing and any other legislation that impacts the conduct of fiduciary business within the jurisdiction. Regular communication to appropriate staff to ensure that AFAL is kept abreast of changes to legislation.
• Report complaints, operational risks, suspicions etc. in accordance with local procedures.
• Develop an awareness and ability to avert potential risk issues for both clients and AFAL.
• Respond promptly to risk review queries/action points.
• Respond promptly to Depositary requests providing all requested supporting documentation in timely manner.
Personal development
• Attend seminars and workshops to enhance professional and technical knowledge. Ensure that any knowledge gained is shared to benefit the company staff required.
• Identify areas to improve own knowledge and skills and actively seek assistance.
• Constantly review and, where necessary, re-prioritize own activities.
• Maintain evidence of conducting professional development.
Votre profil
• Company law and administration – understands the principles and practices of fiduciary services applicable to Luxembourg.
• Relationship management – able to develop strong relationships with colleagues, clients and intermediaries. Committed to meeting highest standards of client service.
• Commercial awareness – has a sound knowledge of private equity fund administration and financial services market in which the company operates.
• Risk awareness – able to recognize and respond to risk situations and stays up to date with appropriate legislation and professional standards.
• IT literacy -uses the company IT systems and other appropriate software packages effectively.
• Communication – demonstrates good listening and questioning skills and has strong spoken and written communication.
• Teamwork – consistently volunteers and “pitches in” where necessary. Is able to integrate into a small dynamic and multi-cultural team.
• Bac +3
• Minimum of 4 years in a company secretary/corporate officer role.
• Experience of fund administration (PE funds), including domiciliation services
• Excellent language skills: English has to be perfect, good working knowledge of German and/or French and/or Luxembourgish would be advantageous.
