Function
Corporate Compliance
- Ensures the creation and maintenance of Company Records and Statutory Registers.
- Monitors the Statutory returns and online filing of information with the LBR to update any changes regarding the company or to comply with requirements for periodic filing.
- Assists in driving change and improvement in corporate governance.
Corporate Services and General Board Support
- Assists in coordinating Board meetings including convening meetings, producing Board materials via Board Intelligence, preparing reports in relation to corporate governance matters, performing a quality review on meeting supporting documents, and drafting meeting minutes.
- Maintains and monitors any kind of document pertaining to the life cycle of the Company (AGM, power of attorney, authorised signature lists, filling documents with RCS, drafting circular resolutions, etc).
- Facilitates follow- up on pending items and action logs.
Process Management
- Assists in the establishment of policies and procedures that the Board needs to function.
- Assists the Head of Governance in the assessment of Company’s governance policies.
- Contributes to maintaining annual update of terms of reference, organisation charts and other governance documents.
Cross-border transactions and local support
- Assists the investment management team with matters pertaining to the approval of investment/ divestment transactions and/or restructuring, coordinates Board and shareholder meetings, and execution of relevant documentation.
Stakeholder Relationship
- Assists with all matters pertaining to the Board of Directors and subsequent activities such as Board members’ logistics, personal files, director contracts, and collective periodic assessment.
- Facilitates answers to different requests from internal and external stakeholders (external auditors) in relation to corporate governance queries.
- Provides assistance in ad-hoc projects as required.
Profile
- At least 10 years of similar experience in the Fund Industry.
- Master’s Degree in Legal or Business administration or equivalent or Bachelor’s Degree with at least 15 years of similar experience.
- Ability to work in a complex and agile environment as well as in a multicultural and international group.
- Ability to develop and maintain healthy employee relations.
- Friendly and supportive behaviour.
- Good project management and organisational skills.
- Good knowledge of new governance legislation.
- Good command of English (written and oral), French, Spanish, German, or Dutch an asset.
